Agreement to Our Legal Terms

Matbia Inc. ("Company," "we," "us," "our"), registered in New York at 630 Flushing Ave, 6th floor, Brooklyn, NY 11206, operates matbia.org (the "Site") and related services.

These Legal Terms constitute a binding agreement. By accessing the Services, you acknowledge reading and agreeing to all terms. Disagreement requires immediate discontinuation of use.

1. Our Services

Information provided through Services is not intended for distribution where prohibited by law or regulation. Users accessing Services from other locations assume responsibility for local law compliance.

2. Intellectual Property Rights

Our Intellectual Property

Matbia owns or licenses all intellectual property in Services, including source code, databases, functionality, software, designs, audio, video, text, photographs, graphics, trademarks, and service marks. Content and Marks are protected by copyright, trademark, and intellectual property laws and are provided "AS IS" for personal, non-commercial use only.

Your Use of Our Services

Subject to compliance with these Legal Terms, users receive a non-exclusive, non-transferable, revocable license to access the Services and download or print Content portions for personal, non-commercial use exclusively. All rights not expressly granted are reserved.

Your Submissions

Direct communications to Matbia (questions, comments, suggestions, ideas, feedback) constitute "Submissions." Users agree to assign all intellectual property rights in Submissions to Matbia. Users are solely responsible for Submissions and agree to reimburse Matbia for losses from breach of this section.

3. User Representations

By using Services, users represent and warrant that:

1. All registration information is true, accurate, current, and complete
2. Information accuracy will be maintained with prompt updates
3. Legal capacity exists and agreement to comply with Legal Terms
4. User is not a minor in their jurisdiction
5. Access occurs through non-automated, human means only
6. Services are not accessed for illegal or unauthorized purposes
7. Use does not violate applicable laws or regulations

4. User Registration

Registration may be required. Users must keep passwords confidential and bear responsibility for all account and password use. Matbia reserves rights to remove, reclaim, or change usernames deemed inappropriate.

5. Purchases and Payment

Users agree to provide current, complete, accurate purchase and account information for all Services purchases. Sales tax may be added as Matbia deems required. Prices are subject to change anytime. Matbia reserves rights to correct pricing errors and refuse orders.

6. Prohibited Activities

Services use is only for intended purposes. Users agree not to systematically retrieve data without permission, trick or defraud users, circumvent security features, upload viruses, engage in automated system use, harass employees, reverse engineer software, or use Services for competing enterprises.

7. User Generated Contributions

Users may have opportunities to create and submit content ("Contributions"). Contributions must not infringe third-party rights, be false or misleading, constitute spam, or violate applicable laws.

8. Contribution License

By submitting feedback or suggestions, users agree Matbia can use and share such feedback for any purpose without compensation. Matbia does not assert ownership over Contributions.

9. Third-Party Websites and Content

Services may contain links to other websites and third-party content. Matbia is not responsible for third-party websites or content. Leaving Services for third-party websites occurs at user risk.

10. Services Management

Matbia reserves rights to monitor Services for violations, take legal action, refuse or restrict Contributions, and otherwise manage Services to protect rights and property.

11. Privacy Policy

Matbia cares about data privacy and security. Review the Privacy Policy at matbia.org/privacy-policy. Services use constitutes Privacy Policy agreement. Services are hosted in the United States.

12. Term and Termination

Legal Terms remain in full force during Services use. Matbia reserves the right to deny access to Services to any person for any reason or no reason, including for breach of any representation, warranty, or covenant. Post-termination, users are prohibited from registering new accounts.

13. Modifications and Interruptions

Matbia reserves rights to change, modify, or remove Services contents anytime without notice. Services availability is not guaranteed. Matbia has no liability for access inability during downtimes or discontinuances.

14. Governing Law

Legal Terms and Services use are governed by New York State laws applicable to agreements made and performed entirely within New York.

15. Dispute Resolution

Informal Negotiations

Both parties agree to first attempt informal dispute negotiation for at least 30 days before initiating arbitration.

Binding Arbitration

If informal negotiations fail, disputes are resolved by binding arbitration following American Arbitration Association Commercial Arbitration Rules. Arbitration occurs in Kings County, New York. No dispute may commence more than one year after the cause of action arose.

16. Corrections

Services may contain typographical errors, inaccuracies, or omissions. Matbia reserves rights to correct errors and update information anytime without prior notice.

17. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

18. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

19. Indemnification

Users agree to defend, indemnify, and hold Matbia harmless from any loss, damage, liability, or claims from third parties due to Services use, Legal Terms breaches, or third-party rights violations.

20. User Data

Matbia maintains data you transmit for Services performance management. Users solely bear responsibility for all transmitted data. Matbia bears no data loss or corruption liability.

21. Electronic Communications

Site visits, emails, and online form completion constitute electronic communications. Users consent to receive electronic communications and agree all agreements and notices satisfy writing-requirement laws.

22. SMS Text Messaging

Opting into Matbia text messaging programs means consenting to SMS text message receipt. To stop receiving messages, reply "STOP" to texts. Message and data rates may apply. For questions, email office@matbia.org or call 7183331010.

23. California Users and Residents

Unsatisfactory complaint resolution allows contacting the Complaint Assistance Unit of the California Department of Consumer Affairs' Division of Consumer Services at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by calling (800) 952-5210.

24. Miscellaneous

Legal Terms and posted Services policies constitute the entire agreement between users and Matbia. Failure to exercise any right does not waive such right. Matbia may assign rights and obligations to others anytime. Unlawful or unenforceable provisions are deemed severable.
